Terms of Service

CareGeo is a cloud-based home care workforce management platform that provides:

• Electronic Visit Verification (EVV) — GPS-verified clock-in/out for caregivers.
• Employee scheduling, shift management, and payroll reporting.
• Client and care plan management.
• Medicaid EVV data exports in formats accepted by state aggregators.
• An administrative web dashboard and a caregiver mobile application (iOS and Android).
• Billing and subscription management via Stripe.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with reasonable notice. We will use commercially reasonable efforts to give 30 days' notice before discontinuing a material feature.

To use the Service you must:

• Provide accurate and complete registration information.
• Maintain the security of your login credentials and promptly notify us of any unauthorized access.
• Ensure all users accessing the Service through your account comply with these Terms.
• Be at least 18 years old and legally capable of entering into a binding contract.

You are responsible for all activities that occur under your account. CareGeo is not liable for any loss or damage arising from unauthorized use of your credentials.

If you are a HIPAA Covered Entity (as defined in 45 CFR § 160.103) using the Service to store, transmit, or process Protected Health Information (PHI), you must sign a Business Associate Agreement (BAA) with CareGeo before entering PHI into the platform. The BAA is presented to agency administrators during onboarding and governs how CareGeo handles PHI on your behalf.

You agree to:

• Comply with all applicable HIPAA requirements, including the Privacy Rule, Security Rule, and Breach Notification Rule.
• Train your workforce on HIPAA obligations before granting them access to the Service.
• Obtain all necessary authorizations and consents from care recipients before entering their information into the platform.
• Report any potential breaches or security incidents involving data accessed through the Service to CareGeo immediately at legal@caregeo.app.

CareGeo acts solely as a Business Associate and is not responsible for your compliance obligations as a Covered Entity.

A. Plans and Fees

CareGeo offers subscription plans billed on a monthly or annual basis. Current pricing is displayed at caregeo.app and may be updated from time to time with at least 30 days' notice to existing subscribers.

B. Billing

• Payments are processed by Stripe. By subscribing you authorize Stripe to charge your designated payment method on a recurring basis.
• Subscriptions auto-renew at the end of each billing period unless you cancel before the renewal date.
• All fees are non-refundable except where required by applicable law or as expressly stated in a separate order form.
• If payment fails, we will retry the charge and notify you. If payment is not received within 10 days, we may suspend your account.

C. Free Trial

If we offer a free trial, no charge will be made during the trial period. At the end of the trial, your account will convert to a paid subscription unless you cancel before the trial ends.

D. Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for any sales, use, or similar taxes imposed on the Service in your jurisdiction.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Submit false, misleading, or fraudulent EVV data or billing claims.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Attempt to gain unauthorized access to any component of the Service or another customer's data.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to build a competing product or to benchmark the Service without prior written consent.
• Transmit viruses, malware, or other harmful code.
• Use automated bots, scrapers, or similar tools without our prior written consent.
• Harass, abuse, or harm any person using or referenced in the Service.

CareGeo reserves the right to investigate any suspected violation of this section and to suspend or terminate accounts found to be in violation.

Your data: You retain all right, title, and interest in and to the data you upload or enter into the Service ("Customer Data"), including all PHI. You grant CareGeo a limited, non-exclusive license to process Customer Data solely to provide and improve the Service and as required by law.

Our data: CareGeo retains ownership of the Service, the software, all algorithms, analytics, and de-identified aggregate data derived from usage of the Service. We may use de-identified aggregate data (with all direct and indirect identifiers removed) for benchmarking, product improvement, and research.

Data portability: Upon request before or within 90 days after account cancellation, we will provide an export of your Customer Data in a common machine-readable format (CSV / JSON). After 90 days, data may be deleted in accordance with our Privacy Policy.

All intellectual property rights in the Service — including software, UI, logos, trademarks, and documentation — are owned by Revamp Digital LLC or its licensors. Nothing in these Terms grants you any right to use CareGeo trademarks, trade names, or logos without our prior written consent.

If you provide feedback, suggestions, or feature requests, you grant CareGeo a royalty-free, irrevocable, worldwide license to use that feedback without restriction or compensation to you.

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that:

• Is or becomes publicly known through no breach by the receiving party.
• Was rightfully in the receiving party's possession before disclosure.
• Is independently developed by the receiving party without use of the Confidential Information.
• Is required to be disclosed by law or court order, provided the receiving party gives prompt written notice where permitted.

CareGeo targets 99.5% monthly uptime for the web platform, excluding scheduled maintenance windows. We will provide at least 24 hours' notice of planned maintenance that affects Service availability.

Support is available via email at support@caregeo.app. We aim to respond to critical issues within 4 business hours and general inquiries within 2 business days.

THE SERVICE IS PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY LAW, CAREGEO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CAREGEO DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CAREGEO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF CAREGEO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CAREGEO'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE — FOR ANY CAUSE OF ACTION AND REGARDLESS OF THE FORM OF THE ACTION — WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO CAREGEO IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless CareGeo, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service or violation of these Terms.
• Your Customer Data, including any PHI submitted by you or your users.
• Your violation of any applicable law, regulation, or third-party right.
• Any claim by your employees or care recipients arising from your use of the Service.

A. Term

These Terms commence on the date you accept them and continue until your subscription expires or is cancelled.

B. Cancellation by You

You may cancel your subscription at any time through the account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No refunds are issued for the unused portion of a billing period.

C. Termination by CareGeo

CareGeo may suspend or terminate your account immediately if you:

• Breach any provision of these Terms and fail to cure the breach within 10 days of written notice.
• Fail to pay fees when due after a 10-day cure period.
• Use the Service in a way that creates legal liability for CareGeo or harms other users.
• Become subject to bankruptcy, insolvency, or similar proceedings.

D. Effect of Termination

Upon termination, your right to use the Service ends immediately. Sections on data ownership, confidentiality, limitation of liability, indemnification, and governing law survive termination. Data export rights remain for 90 days after the effective termination date.

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Georgia, and both parties consent to personal jurisdiction in those courts.

Before filing any claim, the parties agree to attempt to resolve the dispute informally by notifying the other party in writing with a description of the dispute and proposed resolution. If the dispute is not resolved within 30 days, either party may pursue formal legal proceedings.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

By using the Service, you consent to receive communications from CareGeo electronically (email, in-app notices, or postings on the Service). Electronic signatures, agreements, and records created through the Service (including the BAA) are legally valid and enforceable to the same extent as paper-based documents, subject to applicable law including the Electronic Signatures in Global and National Commerce Act (ESIGN) and applicable state UETA statutes.

We may update these Terms at any time. We will notify agency administrators by email and post the updated Terms at caregeo.app/terms with a new effective date. If you continue using the Service after the effective date of the updated Terms, you accept the updated Terms. If you do not agree, you must stop using the Service and cancel your subscription before the effective date.

For material changes that significantly expand your obligations or reduce your rights, we will provide at least 30 days' advance notice.

• Entire Agreement: These Terms, together with the Privacy Policy and any signed BAA or Order Form, constitute the entire agreement between you and CareGeo regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force.
• Waiver: Failure to enforce any provision of these Terms is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our prior written consent. CareGeo may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
• Force Majeure: CareGeo is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, or government action.
• No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
